1. Agreement to Terms

By accessing or using the Chalk Learning diagram-making application ("App"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access or use our App.

2. Definitions

"App" refers to the Chalk diagram-making application.
"User", "you", and "your" refer to the individual or entity using our App.
"Chalk", "we", "us", and "our" refer to the Chalk diagram-making application and its operators.
"Content" refers to diagrams, text, images, and other materials created, uploaded, or stored through our App.

3. Account Registration

To use certain features of our App, you must register for an account. When you register, you agree to:

• Provide accurate and complete information.
• Maintain the security of your account credentials.
• Promptly update your account information if it changes.
• Accept responsibility for all activities that occur under your account.

4. Age Restrictions

Our App is not primarily intended for users under the age of 16. By using our App, you represent and warrant that you are at least 16 years of age or have obtained parental consent to use our App.

5. Acceptable Use

You agree not to use our App:

• For any unlawful purpose or to engage in illegal activities.
• To infringe upon intellectual property rights of others.

6. User Content and Intellectual Property

You retain ownership of the Content you create using our App.
By using our App, you grant us a non-exclusive, royalty-free, worldwide license to use, store, and process your Content solely for the purpose of providing and improving our App.

6.2 Our Intellectual Property

The App, including its features, functionality, design, and content (excluding User Content), is owned by Chalk and is protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, and revocable license to use our App for its intended purposes.

7. Termination

We may terminate or suspend your account and access to our App at any time, without prior notice or liability, for any reason, including if you breach these Terms.

8. Disclaimer of Warranties

The App is provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, in no event shall Chalk be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use of or inability to use our App.
• Any unauthorized access to or use of our servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from our App.
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our App.

10. Indemnification

You agree to defend, indemnify, and hold harmless Chalk from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal fees, arising out of or in any way connected with your access to or use of our App or your violation of these Terms.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the App or by other means before the changes take effect. Your continued use of the App after any such changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or our App shall be resolved through negotiation in good faith. If such dispute cannot be resolved through negotiation, the dispute shall be submitted to the exclusive jurisdiction of the courts of the United Kingdom.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Chalk regarding our App and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning our App.
